MEMBERSHIP AGREEMENT

This Membership Agreement (this “Agreement”) is between TechEdge Developers d/b/a VisionariesNV (the “Community,” “we” or “us”) and the undersigned member (“Member” or “you”). This Agreement governs your membership in the Community and applies to all activities related to the Community, including live events, online events, and any other activities provided by the Community.

1. Membership. By signing below, you agree to become a member of the Community (a “Member”). As a Member, you are entitled to all the rights, and subject to all the obligations of a Member set forth in this Agreement and in the Communities’ policies. You agree to be bound by and fully comply at all times with the Communities policies, rules, bylaws, and other governing documents as are adopted by the Community from time to time.

2. Membership Dues. All membership fees are due prior to you becoming a Member. Membership fees are billed monthly in advance. If you make a payment via credit card or debit card, you hereby agree that the card information will be shared with and processed by our third party payment processor subject to such payment processor’s terms of service and privacy policy. By providing your credit card or debit card information, you authorize our third party payment processor to store your payment card details securely and to automatically charge your card for membership renewal fees on an annual basis. This authorization will remain in effect until you notify us that you wish to cancel this authorization. This Agreement and your status as a Member and will automatically renew each month unless either party gives at least one full month’s notice of its intention not to renew. You may terminate this Agreement and your status as a Member at any time. You will not be entitled to any refund for terminating your status as a Member.

3. Violation of Rules. We may terminate this Agreement and your status as a Member upon notice to you if you breach this Agreement or violate any Community rules or policies. We may give you a period to cure the breach or violation, however, we may also terminate your status as a Member immediately if we determine, in our sole discretion, that your continued status as a Member may cause harm to the Community or other members. If your status as a Member is terminated pursuant to this provision, you will not be entitled to any refund.

4. ‍Waiver; Limitation of Liability. You hereby expressly waive and release any and all claims, now known or hereafter known, against the Community and its owners, officers, directors, employees, and agents (collectively, “Releasees”) on account of personal or psychological injury, illness, pain, suffering, temporary or permanent disability, death, property damage, or financial loss arising out of or attributable to your status as a Member, and your attendance at Community events, whether arising out of the ordinary negligence of the Community or any Releasees. This waiver and release does not extend to claims for gross negligence, willful misconduct, or any other liabilities that Nevada law does not permit to be released by agreement. The Community shall have no liability to Member with respect to its participation in the Community, except for the gross negligence, intentional or willful acts of the Community or its employees or agents. The rights and responsibilities established in this section shall survive indefinitely beyond the term of this Agreement.

5. Indemnification. You agree to indemnify and hold harmless the Community, its owners, officers, directors, employees, and agents, for any and all claims, losses, damages, liabilities, judgments, or settlements, including reasonable attorneys’ fees, costs (including costs associated with any official investigations or inquiries) and other expenses, incurred on account of Member’s acts or omissions at Community events, and in connection with Member’s activities related to the Community. The rights and responsibilities established in this section shall survive indefinitely beyond the term of this Agreement.

6. Other Organizations. You understand that the Community has relationships with other organizations, including various Chambers of Commerce. If you attend any events hosed by an affiliated organization, you agree to abide by that organization’s rules and policies. You are responsible for determining and abiding by the rules of other the other organizations to the extent they are applicable to you.

7. General. This Agreement is governed by Nevada law. This Agreement may be modified only with the written agreement of the parties and may be signed in counterparts, including by email or electronic signature.
